Research Use Only Compliance Policy

PADRE Research LLC (“PADRE,” “we,” “us,” or “our”) supplies research chemicals and chemical reagents that are designated Research Use Only. The designation “Research Use Only” means that a product is intended exclusively for use in controlled laboratory and analytical research conducted by qualified persons and institutions.

Products designated Research Use Only are not for human consumption and are not for any in-vivo use. They have not been evaluated or approved by the United States Food and Drug Administration. They are not drugs, foods, dietary supplements, or cosmetics, and they are not intended to diagnose, treat, cure, or prevent any disease or condition. No product is offered or sold for any purpose other than qualified scientific research.

This policy supplements and is incorporated into our Terms of Service. By placing an order, you agree to comply with this policy in its entirety.

PADRE Research LLC sells its products only to qualified researchers, academic and research institutions, and private laboratories.

Our products are offered for purchase only by persons and entities engaged in legitimate scientific research. To be eligible to purchase, you must be a qualified researcher or represent a research institution or laboratory, be a resident of the United States, and fall within one of the following categories:

• Qualified researchers who possess the training, knowledge, and facilities necessary to handle research chemicals safely and lawfully.
• Research institutions, including academic, commercial, and governmental laboratories.
• Individuals conducting legitimate research who acquire products solely for lawful laboratory and analytical purposes.

By placing an order, you represent and warrant that you meet these eligibility requirements and that you are acquiring products solely for legitimate research purposes.

Products supplied by PADRE may be used only for the following research purposes:

• Laboratory research conducted under appropriate controls by qualified personnel.
• In vitro studies performed outside of a living organism, such as in test tubes, culture dishes, or other controlled laboratory apparatus.
• Analytical and reference-standard applications, including use as analytical reference standards for identification, calibration, method development, and quality-control purposes.

You are responsible for ensuring that your intended research use complies with all applicable federal, state, and local laws, regulations, and institutional policies, and with accepted laboratory safety practices.

The following uses of any product supplied by PADRE are strictly prohibited:

• Human consumption or any introduction of a product into the body of any human being by any route.
• Veterinary use or any administration of a product to any animal.
• Diagnostic purposes of any kind.
• Therapeutic application of any kind.
• Any use that is unlawful, that violates the rights of others, or that is inconsistent with the Research Use Only designation.

These prohibitions apply regardless of the manner in which a product is acquired and apply to you and to any person to whom you transfer a product. You may not resell, transfer, or distribute any product to any person whom you know or should reasonably know intends to use it for a prohibited purpose.

By placing an order, you expressly acknowledge and agree that:

• You have read, understood, and agree to comply with this Research Use Only Compliance Policy.
• You are acquiring products solely for lawful research purposes and will not use or permit the use of any product for any prohibited purpose.
• You assume full responsibility for the lawful handling, storage, labeling, use, and disposal of all products you acquire.
• You are solely responsible for determining whether your intended use is permitted under the laws and regulations applicable to you and your jurisdiction.
• You will not make any representation, on resale or otherwise, that any product is suitable for any use other than qualified research.

You accept all risk and responsibility associated with the products and agree to indemnify and hold PADRE harmless from any claim arising out of your use, handling, or disposal of any product, as set forth in our Terms of Service.

PADRE is committed to maintaining high standards of quality and regulatory compliance in the products we supply. In furtherance of this commitment, we maintain the following practices:

• Third-party laboratory testing — our products are subject to analytical testing performed by independent laboratories accredited to the ISO/IEC 17025 standard for the competence of testing and calibration laboratories.
• Batch traceability — we maintain records that allow products to be traced to their production batch, supporting quality control and accountability.
• Proper labeling — our products are labeled in a manner consistent with their Research Use Only designation, including statements that they are not for human consumption and are intended for laboratory research purposes only.

Our Research Use Only practices are informed by the applicable framework of United States law and regulation, including:

• The Federal Food, Drug, and Cosmetic Act (21 U.S.C. § 301 et seq.), which establishes the federal framework governing drugs, foods, dietary supplements, and cosmetics, none of which our research-use products constitute.
• The regulations promulgated under Title 21 of the Code of Federal Regulations (21 CFR), which govern the classification, labeling, and marketing of regulated articles.

Because our products are research chemicals supplied for Research Use Only and are not drugs, foods, dietary supplements, or cosmetics, they are not marketed as, and may not be used as, articles regulated for human or animal use under these authorities. References to these authorities are provided for context and do not constitute legal advice.

We take compliance seriously and reserve the right to take action where we reasonably believe that an order or account is associated with any prohibited use or other violation of this policy. Where we identify suspected misuse, we may, in our sole discretion and without prior notice:

• Decline or cancel the affected order;
• Suspend or terminate the associated account;
• Decline to process future orders from the person or entity involved; and
• Report the matter to the appropriate authorities where required or permitted by law.

Consistent with our all-sales-final policy, an order cancelled or an account terminated for suspected misuse is not eligible for a refund.
