These Terms of Service (the “Terms”) constitute a binding legal agreement between you and PADRE Research LLC (“PADRE,” “we,” “us,” or “our”) governing your access to and use of our website, your creation of an account, and your purchase of any products supplied by us. By accessing the website, registering an account, or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

Access to this website and the purchase of any product are limited to qualified researchers, research institutions, academic institutions, and private laboratories. By using the website or placing an order, you represent and warrant that you are a qualified researcher, or are affiliated with or represent a research institution or laboratory, that you are acquiring these products solely for legitimate research purposes, and that you have the legal capacity to enter into a binding contract.

By placing an order, Purchaser further represents and warrants that: (a) Purchaser is acquiring the product solely for legitimate in-vitro research, analytical, or laboratory purposes and not for human or veterinary use; and (b) Purchaser is affiliated with a research institution or laboratory, or is a qualified independent researcher.

Our products are offered for sale exclusively to residents of the United States. By placing an order, you represent and warrant that you are a United States resident, that the shipping address you provide is within the United States, and that your acquisition and use of our products complies with all federal, state, and local laws and regulations applicable to you. We do not offer, sell, or ship products to individuals or entities located outside the United States.

We reserve the right, in our sole discretion, to refuse service, decline or cancel any order, and to terminate accounts at any time for any lawful reason, including where we reasonably believe that an order or account is associated with a violation of these Terms or applicable law.

To place an order, you may be required to create an account and provide accurate, current, and complete information, including your legal name, email address, and shipping address. You agree to maintain and promptly update your account information so that it remains accurate, current, and complete at all times.

You are solely responsible for safeguarding the credentials associated with your account and for all activity that occurs under your account. You agree to maintain the confidentiality of your password, to restrict access to your account, and to notify us immediately at support@padreresearch.com of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with these obligations.

You agree not to use the website or your account for any unlawful purpose, to impersonate any person or entity, to provide false or misleading information, or to interfere with the proper operation, security, or integrity of the website. We may suspend or terminate your account at any time if we reasonably determine that you have violated these Terms.

All products supplied by PADRE are research chemicals and chemical reagents intended and sold strictly for Research Use Only by qualified persons and institutions conducting legitimate laboratory and analytical research. Our products are not for human consumption and are not for any in-vivo use.

Our products have not been evaluated or approved by the United States Food and Drug Administration. They are not drugs, foods, dietary supplements, cosmetics, or consumer products of any kind, and they are not intended to diagnose, treat, cure, or prevent any disease or condition. No claim, statement, or information provided by PADRE shall be construed as a representation that any product is suitable for any application other than qualified laboratory research.

By placing an order, you expressly acknowledge and agree that:

• You are a qualified researcher, or you are acquiring products on behalf of an institution or individual engaged in legitimate scientific research.
• You will use all products solely for lawful laboratory research, in vitro studies, and analytical reference purposes.
• You will not introduce any product into the body of any human or animal and will not use any product for diagnostic, veterinary, or therapeutic purposes.
• You will handle, store, label, and dispose of all products in accordance with applicable laws, regulations, and accepted laboratory safety practices.

All orders are subject to acceptance by PADRE. The display of any product on the website is an invitation to place an order and does not constitute an offer to sell. We reserve the right to accept or decline any order, in whole or in part, for any lawful reason, including product unavailability, errors in pricing or product information, or suspected violation of these Terms.

Prices are stated in United States dollars and are subject to change without notice. You agree to pay the full amount stated at checkout, including the product price, applicable taxes, and shipping charges. By submitting payment information, you represent and warrant that you are authorized to use the designated payment method and authorize us, or our third-party payment processors, to charge the total order amount to that method.

We use trusted third-party payment processors to handle payment transactions. We do not store complete payment card numbers on our systems. In the event of a pricing error, we reserve the right to cancel the affected order and to refund any amount charged in error.

All sales are final. No refunds or returns. Any issues with your order will be reviewed and handled on a case-by-case basis. Contact support@padreresearch.com.

Because of the nature of the products we supply, we are unable to accept returns or to resell products once they have left our facility. Accordingly, all purchases are final at the time the order is accepted. If you believe there is a problem with your order, including a product that arrives damaged or incorrect, you must contact us promptly at support@padreresearch.com so that we may review the matter. Any resolution offered is provided at our sole discretion on a case-by-case basis and does not establish a right to a refund, return, or replacement in any other instance.

We ship products from within the United States to shipping addresses located within the United States only. Orders are typically processed within one to two business days, and delivery timeframes depend on the carrier and destination. Title and risk of loss pass to you upon our delivery of the products to the carrier.

You are responsible for providing a complete and accurate shipping address and for ensuring that someone is available to receive the shipment. We are not responsible for delays caused by carriers, incorrect address information, or events beyond our reasonable control. The website and all of its contents, including text, graphics, logos, product descriptions, technical specifications, images, page layouts, and the “PADRE” and “PADRE Research Supply Company” names and marks, are the property of PADRE Research LLC or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the website solely for the purpose of browsing products and placing orders for your own legitimate research purposes. You may not reproduce, distribute, modify, publicly display, create derivative works from, or otherwise exploit any portion of the website or its contents without our prior written consent. All rights not expressly granted are reserved.

To the fullest extent permitted by applicable law, the website and all products are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, all of which are expressly disclaimed.

To the fullest extent permitted by applicable law, PADRE Research LLC, its officers, members, employees, agents, and suppliers shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your access to or use of the website, the products, or these Terms, whether based in contract, tort, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

In no event shall our aggregate liability arising out of or relating to the website, the products, or these Terms exceed the total amount you paid to us for the specific order giving rise to the claim. Because you assume full responsibility for the handling and use of all products, you agree that we shall bear no liability whatsoever for any loss, injury, or damage resulting from any use of a product that is inconsistent with the Research Use Only restrictions set forth in these Terms. Some jurisdictions do not allow certain limitations of liability, so some of the foregoing limitations may not apply to you.

You agree to indemnify, defend, and hold harmless PADRE Research LLC and its officers, members, employees, agents, successors, and assigns from and against any and all claims, demands, actions, liabilities, damages, losses, judgments, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to: (a) your breach of these Terms; (b) your violation of any applicable law or regulation; (c) your handling, storage, use, or disposal of any product; or (d) any misuse of any product, including any use of a product that is inconsistent with the Research Use Only restrictions set forth in these Terms.

Please read this section carefully, as it affects your legal rights. You and PADRE agree that any dispute, claim, or controversy arising out of or relating to these Terms, the website, or any product, whether based in contract, tort, statute, or otherwise, shall be resolved exclusively by final and binding arbitration, rather than in court, except that either party may bring an individual action in small claims court for disputes within that court’s jurisdiction.

The arbitration shall be administered by a recognized arbitration provider in accordance with its applicable commercial arbitration rules and shall be conducted in Palm Beach County, Florida. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

You and PADRE agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of class or representative proceeding.

These Terms and any dispute arising out of or relating to them, the website, or any product shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law principles. Subject to the arbitration provisions above, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Palm Beach County, Florida for any matter not subject to arbitration.

We reserve the right to modify, amend, or update these Terms at any time in our sole discretion. When we make changes, we will revise the “Last updated” date at the top of this page. Material changes will become effective upon posting to the website. Your continued access to the website or placement of an order after the effective date of any revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must discontinue use of the website.
